Vringo, Inc. (AMEX:VRNG) V Google Inc (GOOG): What We Have Got So Far?


Shares of Vringo, Inc.(NYSEAMEX:VRNG), the patent holding company fell about 10% (after yesterday’s rebound of 8%) after its victory against AOL, Inc.(NYSE:AOL) and Google Inc(NASDAQ:GOOG) in a jury lawsuit in Virginia. The victory is supposed to bring $30 million to the company in up-front damages and royalties that could amount to millions over a number of years.

Vringo had filed a case against Google and some other big companies saying that their web search efforts violated basic technologies that are owned by Vringo since many years. The amounts that were proposed by the jury seem to be way lower than some people were expecting out the victory.

Vringo has issued a statement saying that the company has received many inquiries regarding the jury’s computation of damages incurred in the past. Vringo’s legal term is reconsidering the verdict and plans to tackle all post-trial matters with the court.

The stock has got at least one thumps up from the Street. John Tinker from Maxim Group has reiterated a Buy rating on Vringo stock and a price target of $10. He has written that the judge can tackle the misunderstandings that have taken place in the post-trial briefings.

Tinker has explained how the jury went about its verdict on royalties and damages where the discrepancy seems to lie. He believes that Vringo had initially claimed for $493 million in damages, taking six years into considerations. Of the total damages calculated, $451 million applied to only Google. The jury granted damages against Google amounting to $15.8 million. The jury granted damages against AOL amounting to $7.9 million. Whatever the math be, the jury seems to have discarded the expert witness argument of Google that royalties should not be paid, only a lump sum of $3-$5 million will suffice.

Tinker expects Google to appeal, but it may take up to 12-15 months. He thinks the search engine giant may play games the way DISH did in litigations that were brought against it by TiVo.

Stocks To Watch: Vringo, Inc. (AMEX:VRNG), The Boeing Company (NYSE:BA)


The Boeing Company (NYSE:BA) has announced that it is on a restructuring drive where it plans to rationalize its defense, space and security businesses.

Pentagon’s second largest supplier said it will shut down some facilities in California and will consolidate many of its business units.  The company wants to cut costs of an additional $1.6 billion by 2015, in addition to the $2.2 billion cuts already achieved since 2010.

Boeing will slash 10% more executive jobs including those at the vice-president and directorial level, taking the overall job cuts since 2010 to 30 percent.

"We are raising the bar higher because our market challenges and opportunities require it, and our customers' needs demand it," said Dennis Muilenburg, CEO of Boeing Defense, Space & Security, in a memo to employees.

The U.S. government has cut spending on defense, and weapon manufacturers are cutting costs to preserve their margins.

Meanwhile shares of mobile phone software maker Vringo, Inc.(NYSEAMEX:VRNG), cracked 10 percent on Wednesday, extending its 7% fall in Tuesday’s session after the company announced that the jury had asked a few companies to pay $30 million to Vringo for infringing upon its patents.

The jury appointed by the court upheld the validity of Vringo’s patents and has ordered AOL, IAC Search and Media and Gannett to pay $15.8 million, $7.9 million, $6.6 million and $4322 respectively.

Vringo had acquired Innovate/Protect (I/P), a company which specializes in monetizing intellectual property, in March.  Before the acquisition, I/P had filed a lawsuit against a string of companies for infringing on its patents.  The lawsuit against Google Inc involves 2 patents that I/P had purchased from Lycos.

Shares of VRNG are up 5% in pre-open session.

Vringo Extends Sell Off – VRNG, OWW, AUXL, BBY, CDE


Vringo, Inc.(NYSEAMEX:VRNG) continued to be under selling pressure for the second consecutive session and lost 8% to $3.29, although off session low of $3.03. After yesterday’s favorableruling against google, AOL and other companies, stock fell as much as 8%. The reason for the sharp fall could be because the company had been targetingmuch larger amount - $696 million.  

The company had initial blow last week as a judge came to conclusionthat the company can’t claim damages for the period before 15 September 2011, which has washed away the company’s potential claim for the past 6 years.

Well, despite the recent fall, the stock is up 232% for the year so far. Moreover, last month it made an all time high of $5.73 and from there it has fallen about 40%.

Orbitz Worldwide, Inc.(NYSE:OWW) plunged 11.50%. Though Q3 EPS beat estimates, revenue fell short, and guidance for Q4 revenue of $183M-$189M is below a $191.1M consensus. Also, Q4 adjusted EBITDA guidance of $32M-$37M (down from Q3's $39.8M) suggests EPS could miss a consensus of $0.12. Q3 gross bookings fell 7% Y/Y, a big contrast to Priceline's 25% increase. Along with the report, Orbitz announced it has hired Sara Lee exec Mitch Marcus to be its new CFO - the company's last permanent CFO resigned in May.

Auxilium Pharmaceuticals, Inc.(NASDAQ:AUXL) slid 7.40% after terminating its collaboration agreement with Pfizer to develop the drug Xiapex, a treatment for Dupuytren's disease, in the European Union and certain other European and Eurasian countries. The agreement will terminate no later than April 24, 2013, after which rights to commercialize Xiapex will revert to AUXL.

Best Buy Co., Inc.(NYSE:BBY) surged 4.62%, recovering after slumping 25% since Richard Schulze first indicated an interest in buying the embattled retailer, a final deal price could go off much lower than the $24 to $26 range the ex-founder first indicated. Look for an initial offer to be announced next week with the company presenting to investors at its Analyst and Investor Day in New York City on November 13.

Vringo, Inc. (AMEX:VRNG) Tumbled Another 9% Despite favourable Court Ruling Against Google Inc


A U.S. court awarded intellectual property firm Vringo, Inc.(NYSEAMEX:VRNG) $30.50 million in damages for patent violations by Google Inc(NASDAQ:GOOG) and other Internet firms.

The violations related to patents held by Vringo's unit I/P Engine, which was acquired by Vringo. The patents were originally held by search engine Lycos, which sold it to I/P Engine.

According to the verdict issued by the jury - 1. I/P Engine had proven by a preponderance of the evidence that the defendants infringed the asserted claims of the patents.
2. The defendants, which indlueded google and AOL, had not proven by clear and convincing evidence that the asserted claims of the patents are invalid by anticipation.

Vringo had origjnally demanded nearly $700 million as damages but ultimately had to settle for a smaller sum, which was less than 5 percent of its target.

According to the jury, reasonable royalty damage should be based on a "running royalty," and the royalty rate has been set at 3.5 percent. The onetime payment of $30 million should cover Vringo for all past infringements.

Google has the highest liability at $15.8 million followed by AOL with $7.94 million, IAC with $6.65 million and the remaining being split between Gannett and Target Corp.

Whether Vringo will actually get the amount or not is debatable as Google plans to appeal the court ruling.

What is of concern here is the valuation of Vringo's patent portfolio. Vringo as well as its investors were expecting more from the litigation and the reduced pay-out does not augur well for the company.

Shares of VRNG tumbled another 8% after slumping 75 in yesterday’s session post court ruling.

Vringo, Inc. (AMEX:VRNG) Tumbled As Investors digest latest Outcome


Vringo, Inc.(NYSEAMEX:VRNG) was looking for more than $500 million in damages in its patent lawsuit against Google Inc(NASDAQ:GOOG) and other Internet companies for violating patents held by its unit I/P Engine.

What it got was $30 million. In a ruling on Tuesday, the jury told five companies including Google to pay Vringo about $30 million for infringing on its patents.

Vringo shares tanked 10 percent after the news. It closed down 8 percent at $3.66 in New York.

The court-appointed jury upheld the validity of Vringo's patents and asked Google to pay $15.8 million, AOL $7.9 million, IAC/InterActiveCorp-owned IAC Search & Media $6.6 million and Gannett Co Inc. $4.3 million, Vringo said in a statement.

Vringo had acquired I/P in March and inherited the lawsuit which I/P had filed against AOL, Google, IAC, Gannett and Target Corp in 2011.

Google's liability in the case extends to two patents that I/P had bought from Lycos, whose founder was the original holders of the patents.

Reuters quoted Virginia courtroom sources as saying that the besides the $30 million payout in past damages the companies will also be liable to pay an additional 3.5 percent royalties on its patens until they expire in 2016.

The total payout will be more than $125 million a year for five years.

Vringo, Inc.(NYSEAMEX:VRNG) shares are having another volatile session and the stock slumped 10% after the news that the company has won the Jury’s decision on its patent case against big companies including AOL and Google Inc(NASDAQ:GOOG).

The company would get $30 million in damages and also allowed to get a royalty on Google search ad revenue through 2016, when Vringo's patent expires - some reports indicate the royalty rate is 3.5%. Google will almost certainly appeal.

Considering the stock movement, seems like investors are unhappy with the amount company has been awarded. The company was expecting $500 million in damages, however last week, a Judgesaid that VRNG can claim for damages since the date it filed the case i.e from September 15, 2011. 

Jive Software Inc (NASDAQ:JIVE) shares rose after its revenue and net loss for the third quarter beat Street estimates.  Also, the projected revenue for the fourth quarter was in line with analysts’ expectations, although the company sees greater losses than the Street expects.

Revenue for the third quarter rose 39 percent to $28.9 million yielding a net loss of 9 cents a share.  As for analysts’ calculations, the company should have earned a net loss of 11 cents a share on revenue of $28.8 million.

The company’s non-GAAP billings rose 47 percent to $38.9 million.

In this quarter, the company which makes enterprise social networking software sees revenue in the range of $30 million and $31.5 million.  Adjusted net loss is seen between 15 cents and 17 cents a share.  Analysts however, expect a loss of 9 cents a share on revenue of $31.2 million.

Three to four cents of the projected loss in the fourth quarter, is the loss that will be incurred in acquiring two companies by Jive.  One of them is Meetings.io which provides for video conferencing through a web browser; the other is Productive, which provides task management software.

Shares of the company rose 16.16% to $13.01.

Vringo, Inc. (AMEX:VRNG) Showing Wild Moves As The News Is Out On Google’s Case


A small technology company, Vringo, Inc. (NYSEAMEX:VRNG) was granted nearly $30 million in damages and also awardedwith future royalties in its patent litigation against a few technology biggies that include AOL and Google Inc(NASDAQ:GOOG), as per a source having knowledge about the matter.
A federal jury has found that Vringo’s copyrights were valid. It has opened up the possibilities of lawsuits in the future. Vringo has been granted 3.5% running percentage rate off a portion of the defendants’ search-advertising income until the patents run out in the year 2016.

Vringo is a mobile technology and intellectual property company. it has sued AOL, Google and many others accusing them of violating two of its patent that have been used in selecting and placing advertising on Internet search results. AOL had initially settled for a fraction of the litigation in lieu of $100,000.

Vringo’s shares have moved drastically since the beginning of the patent trial earlier this month, plunging 36% on last Wednesday after the judge in the case concludedthat Vringo could not be granted a large amount of the past damages it was seeking for, quoting a long hold-up in filing its patent claim. The stock reversed itself on Monday, after a jury’s query on damages fed conjecture of a Vringo victory.

However, the infringement grant is much lesser than what Vringo had expected to get out of the trial. The company had wanted to get nearly %550 million in damages for yearly violation dating back to the year 2005. The US Distrct Judge, Raymond Jackson restricted the damages to one year, concluding that the patent holders should have filed a lawsuit much earlier to collect for all the years that have passed. The jury gave the verdict on damages using a formula that takes into account the annual revenues of the company.

Shares of VRNG have been showing wild moves after the stock resumed trading after having halted for about 2 hours. The stock was up over 7% before halt. As it reumed trading it first went up as much as 8% and then fell 7%. It is now down 5.32% to $3.74.

Vringo, Inc. (AMEX:VRNG) shares volatile ahead of jury verdict


Last Wednesday, intellectual property firm Vringo, Inc.(NYSEAMEX:VRNG) provided an update on the on-going court case between its unit I/P Engine and a number of Internet companies which include AOL and Google.

The case is being heard in the U.S. District Court, Eastern District of Virginia, Norfolk Division.

The court ruled that under the equitable doctrine of laches, damages should be calculated beginning on September 15, 2011, the date that I/P Engine filed its complaint. I/P Engine had previously sought to have such damages calculated from September 15, 2005. The Court considered a number of motions, including defendants' motions for judgment as a matter of law as to invalidity and non-infringement, which the Court denied, according to statement by Vringo.

After the court ruling the stock lost as much as 36 percent, as it means that the amount of potential damages is limited to about one-fifth of the $500 million Vringo had initially asked.

This morning, shares in Vringo were volatile in trading swinging between $3 and $4.42 in early trades.

"Update: The shares are halted for pending news a hour ago. Seems like some news are on the way regarding Google case. The stock was last up 7.60% to $4.25."

The jury that is deliberating on its trial with Google is reported to have asked for instructions on damages.

Seeking Alpha, which is following the case very closely, said that with each passing day the outcome of the trial seems to be getting more desperate. Google's lawyers are starting to look a lot more nervous than they did earlier.

On Monday the jury was sent home for the third day without having reached a verdict in its patent infringement suit against Google and other internet companies. The news of the jury's damages questions however resulted in the stock rising more than 42 percent.

I/P Engine sued Google, AOL, Gannett, and IAC Search & Media, claiming they have been using its patents without permission.

Wall Street rises ahead of U.S. Presidential elections, Vringo Recovers


On Monday ahead of the crucial elections to the U.S. presidency, Wall Street managed to show some enthusiasm and rose a little on very low trading volumes.

Just about 5.16 billion shares changed hands on the New York Stock Exchange, the Nasdaq and the NYSE on Monday, below this year's average daily volume of 6.5 billion.

Analysts, who have been tacking the market and the political developments closely, said that the market has been directionless for a long time without any real drivers.

On the Nasdaq, the Apple stock rose about 1.4 percent and pulled the index up along with it. It closed at $584.62, though the stock has fallen about 17 percent from the high it hit on September 21.

The Dow Jones Industrial Average (INDEXDJX:.DJI) advanced 19.28 points, or 0.15 percent, to end at 13,112.44. The S&P 500(INDEXSP:.INX) rose 3.06 points, or 0.22 percent, to 1,417.26. The NASDAQ Composite (INDEXNASDAQ:.IXIC) gained 17.53 points, or 0.59 percent, to close at 2,999.66.

In New York, people still seem to be gripped in the aftermath of the havoc and destruction caused by Hurricane Sandy that swept across the western coast earlier last week.

The CBOE Volatility Index or VIX, Wall Street's favourite barometer of investor anxiety, rose 4.72 percent - a relatively big move compared with the S&P 500 - to end Monday's session at 18.42.

Analysts attributed the slight uptick in stock prices to investors taking positions ahead of the results of the elections, which looks as if it could swing either way.

Vringo, Inc. (AMEX:VRNG) Is Having Relief Rally After The Recent Turmoil

Vringo, Inc.(NYSEAMEX:VRNG) shares are showing relief rally today and soared 25% to $3.44. Last week, the stock had multiple bad sessions with a fall of 35% in a single day on Wednesday a federal judge spooked investors by concludingthat the small tech company can’t get anything for the period before September 15, 2011. Then, the stock started to move higher once again since early October and jumped almost 100% from $2.80 to $5.73 within a week. The stock made a new all time high recently as well amid speculation that the company could win the ongoing case and after a U.S. court rejected Google (NASDAQ:GOOG)’s appeal for summary on the ongoing case with Google, valuing at around $700 million..

Just few months ago, analysts were bullish on the stock when it was trading around $3 level and stated that the stock could hit $30 if it wins the case against Google.

The last week sell off pulled the stock below its 50-Day Moving Average and 200-Day Moving Average of $3.77 and $3.66. Traders could see some sort of resistances at these levels.

Judge Jackson rocked the universe for Vringo, Inc. (AMEX:VRNG) on Wednesday with a stunning ruling in the Vringo vs. Google Inc(NASDAQ:GOOG) lawsuit that restricts Vringo’s potential damages to those sustained since the date if filing of the Google case. In so doing, Judge Jackson threw cold water on a hopeful day for Vringo investors, whose stock rose to an intraday high of $4.47 before tumbling to $1.75 on the news.

After sporadic trading halts, the stock settled, or, more precisely was frozen in the mid-$2s by the end of the trading day.

Judge Jackson primarily indicated he would only apply the laches argument to Google, and not to the remaining defendants. Vringo, Inc. (AMEX:VRNG) Continue To Show High Volatility Amid Case Development


Vringo, Inc.(NYSEAMEX:VRNG) shares are showing volatile session in the opening session after a crazy Wednesday. The stock opened lower by 3% and fell as much as 13% to session’s low of $2.17. However, the stock has now turned into positive territory and recent up 1.50% to $2.60, although off session high of $2.74.

Raymond A. Jackson, U.S District Judge, ruled against Vringo, Inc.(NYSEAMEX:VRNG) and saidthat damages should be calculated beginning on September 15, 2011, before  which has been slapping lawsuits on to a number of big technology based companies, the main one being Google Inc(NASDAQ:GOOG). The judge rejected the patent infringement claims in not so many words, and the ruling by the judge also caused the share prices for Vringo to fall by about 36 percent before the trade market closed before the afternoon. The case has not just been filed by Vringo, the company also has a subsidiary by the name of I/P Engine.

The Judge, Jackson, ruled that if the company did manage to convince the jury about the infringement, the company would not be getting the damage compensation for the next six years since the filing of the case. Since the case was filed in 2011, the company cannot expect to see the money till 2017. The court made it very clear as to which side it was leaning towards. Vringo has demanded for a percentage of the profits made by the search giant, Google, for the infringement. It wants to get a percentage of the profits made from 2005 to the present year. The ads become less random, and more relevant to the users, thereby generating more sales, and more leverage for advertisers, which will lead them to continue doing business with Google. This idea was apparently a patented one, but since Google brought out this mechanism in 2005, the Judge asked Vringo why it had not filed a lawsuit earlier. When the company asked for a rebuttal witness, the plea was ignored by the judge as being unfair in the case. Vringo filed cases against the other companies for using the mechanism from Google.

The Court considered a number of motions, including defendants' motions for judgment as a matter of law as to invalidity and non-infringement, which the Court denied.

Vringo currently expects closing arguments in the case to commence on Thursday, November 1, 2012, and that thereafter the Court will instruct the jury on its deliberations.

After Hours Movers: Cirrus Logic, Inc. (NASDAQ:CRUS), Vringo, Inc. (AMEX:VRNG)

Cirrus Logic, Inc.(NASDAQ:CRUS) shares are being halted in after hours as the company reported its second quarter earnings. The company posted a sharp jump in its bottom line driven by strong sales from its audio segment. Moreover, the company has projected better than estimated earnings for the third quarter.

The company now expects to generate revenue of $270 million and $300 million, crushing analysts’ target of $238 million.

In the latest quarter, the company earned $35.4 million, or 51 cents a share on revenue of $193.8 million, compared to a year ago profit of $11.2 million, or 17 cents a share. On an adjusted basis, the company earned 79 cents a share,, ahead of analysts’ target by 8 cents.

Gross margin lowered to 51.7% from 53.5%.

Drama is all over playing in Vringo, Inc.(NYSEAMEX:VRNG) as the stock has recovered almost all of its losses made earlier in the session.  

At around 3 PM, the stock was down as much as 57% to low of $1.75  as reports circulate the company has run into a setback in its lawsuit against Google (GOOG) regarding the latter’s alleged infringement of fundamental patents on Internet search.

May be the sell off was partly driven by a typo on PilotOnline.com, which posted  that Vringo was claiming damages of only $500,000, a figure that was changed to $500 million.

The stock closed lower by 36% to $2.56 in the regular session. However, the stock is up 34.50% in after hours session to $3.44.

Vringo, Inc. (AMEX:VRNG) Plunges 35% As Google Inc (NASDAQ:GOOG) Wins A Key Decision In Norfolk Patent Case


Shares of Vringo, Inc. (AMEX:VRNG) are hammered down by 36% to $2.56 after hitting session low of $1.75 as a federal judge this morning issued a major blow against a small tech company alleging Internet giant Google Inc(NASDAQ:GOOG) and other companies over accused patent violation.

Raymond A. Jackson, a US District Judge ruled that if Vringo and its subsidiary, I/P Engine, influence a jury that Google violated the patents, it cannot gather damages for the 6 years prior to the lawsuit’s filing the previous year.

Vringo is implementing a formula that calls for collecting a percentage of Google’s revenue from 2005 to the present day. At the least, the company is owed $500 million, as Vringo said.

Jackson has found that Vringo and its predecessor waited too long to file a lawsuit since Google made the patent technology public in the year 2005. The patents entails directing adverts to particular Internet used based on the searches they execute.

The technology was developed in the 1990s. The patents for the technology were acquired in 1998 and 2001. An attorney for Vringo has informed the jury that since the year 2004, Google’s profits have increased by 20% since it used a system that places adverts on searches. At the end of 2011, Google posted revenue close to $38 billion and should top that figure by the end of 2012.

A lawyer on behalf of Vringo asked the judge to hold back making a decision on the matter, known as the law of laches, until it can present a refutation witness. The judge nixed the idea since he found it to be procedurally unacceptable. To put it differently, Vringo must have made the move sooner.

Jackson said that the court is not approving Vringo of that chance.

The trial is predicted to wrap up soon.

Google is the chief defendant in the case. Vringo is also suing, for much lesser amounts, IAC, AOL, Target and Ganett that incorporate same Internet advertising technology from Google.

Vringo, Inc. (AMEX:VRNG) Hits Session Low, Below 50-Day and 200-Day MA


Vringo, Inc.(NYSEAMEX:VRNG) shares are showing heavy selling pressure this afternoon after opening with strong gains. The stock opened higher by about 5% and rose as much as 11% followed by a sharp reversal. The stock is now down 22% to $3.11, just near to session’s low of $3.06.

There were minor insider selling on Friday including COO Alex Berger - 4,000 shares at $4.08;CTO Andy Lang - 9,058 at $4.08;CEO Andy Perlman - 1,500 at $4.05; and Director Seth Siegel - 2,000 at $4.05. The sales were made within a pre-established Rule 10b5-1 plan.

The company has been under trial case against Google, for a patent case, which has been driving the company’s shares wild. On expectation of positive outcome, the stock has shown massive rally of about 500% since the beginning of the year and made an all time high of $5.73 earlier this month. However, as the trail progresses, shares of the company started selling off and VRNG is off 43% from all time high.

In the latest development, On Tuesday, Google Inc(NASDAQ:GOOG) filed couple of Motions for Judgment as a Matter of Law, which is intended to request the court to dismiss the patent between both the companies.

This is not the first time, Google has requested for the denial of case, in fact recently, the company’s request was denied when Google stated that there was no potential information that Vringo could present at trial that could justify a verdict for Vringo, and therefore, a trial would be a waste of time, and the Court should enter summary judgment for Google.

Well whatever be the outcome, VRNG is expected to show wild run up or down in coming sessions amid solid fight going in between the blue chip company and small cap company (which was a penny stock in early 2012).

Technically speaking, the stock has fallen below its 50-Day Moving Average and 200-Day Moving Average of $3.82 and $3.62 respectively.

Nokia & Vringo Soar In Early Action (NOK, VRNG, UBS, ANAD, PVH)


Nokia Corporation (ADR)(NYSE:NOK) stock gained 6.25% to $2.72. The company announced that its Lumia 822, Windows Phone 8-based smartphone now will be available through a Verizon Communications Inc. (NYSE:VZ) deal.

Additionally, the company recently launched convertible bonds to generate EUR 750 million. This step will help the Finnish handset makeer to use the net proceeds of the offering to prudently manage its capital structure. It will ensure Nokia to preserve the existing pools of liquidity and to address the upcoming debt maturities.

Vringo, Inc.(NYSEAMEX:VRNG) shares increased 9% to $4.36. On Tuesday, October 30, Google filed two Motions for Judgment as a Matter of Law, which essentially seek dismissal of Vringo's claims against them. A motion for judgment as a matter of law is a "during or post trial" equivalent of a motion for summary judgment. Investors are getting optimistic on the company’s lawsuite against the company and expecting the company to win the case.

Additionally, the company, early this month, filed a lawsuit against ZTE Corp.'s U.K. unit for alleged infringement of its patents for handsets, base stations and base station controllers. Representatives of ZTE weren't immediately available for comment.

UBS AG (USA)(NYSE:UBS) shares gained 13.50% to $14.97. The company is putting about 100 traders at the fixed-income unit in London on leave as Switzerland’s largest lender shrinks its investment bank. UBS boosted its profitability goal and announced plans for about 10,000 job cuts as Chief Executive Officer Sergio Ermotti scales back the investment bank to focus on wealth management.

ANADIGICS, Inc. (NASDAQ:ANAD) stock increased 10.95% to $1.52. The company reported third quarter 2012 net sales of $28.6 million, an increase of 14.1% sequentially and a decrease of 23.1% from the third quarter of 2011. GAAP net loss for the third quarter of 2012 was $17.0 million, or ($0.24) per diluted share.  Non-GAAP net loss for the third quarter of 2012 was $15.3 million, or ($0.21) per diluted share.

PVH Corp(NYSE:PVH) stock soared 21.86% to $111.44 after the company said it has agreed to buy The Warnaco Group Inc for about $2.9 billion in cash and stock. PVH is offering Warnaco shareholders $51.75 in cash and 0.1822 of a share of PVH common stock for each Warnaco share. The company said it has commitments for $4.33 billion in financing from Barclays, BofA Merrill Lynch and Citigroup Global Markets Inc.

Vringo, Inc. (AMEX:VRNG) insiders sell stock ahead of trial with Google


Vringo, Inc. (NYSEAMEX:VRNG)’s patent battle with Google may be attracting a lot of attention, but so far as the investors are concerned they have been left with erosion in the value of their holdings.

Ever since its patent infringement trial went to the courtroom on October 16, after Google refused the option of an out-of-court settlement, shares in Vringo have dropped by a fourth.

On the other hand there has been very little news about the trial or the court case to cheer investors.

In the midst of all this silence over the court case, iStock reported some rather unsettling news. According to the news website, "Six insiders sold a ton of Vringo shares on the eve of the trial and near its recent highs."

This does not augur well for the company and says a lot about the confidence that the management has in its own case. At least that is how the management will read it.

According to the report - "Director John Engelman unloaded 11,173 shares on October 3rd at a cost average of $4.03, another 1,173 shares at $5.29 on the 8th, and 1,173 more on the 15th for $4.65 per share. Engelman still owns 265,095 shares.

President & CTO, Andrew Lang parted ways with 238,626 shares on Oct 3. Andrew sold 68,171 more shares at a cost average around $5.09 on the 9th and went small on the 15th, selling only 14,558 shares at $4.65. Lang still owns 2,765,400 shares.

Next up, Chief Executive Officer, Andrew Perlman got into action on the 3rd by dumping 97.332 shares for $4.01. Four thousand more went out the door on the 8th and the 15th for $5.29 and $4.625, respectively. Perlman still owns 741,666 shares.

Another board member, Seth Siegel joined the selling party on the October 3, 2012 with 152,421 shares at roughly $4.02 per share. Keeping up with the trend you may have noticed, 2,421 shares on the 15th. Siegel still owns 379,678 shares.

COO and Secretary, Alexander Berger sold a total of 209,595 on the 3rd and 5th, a total of 31,940 more on the 8th and 9th, and finished up with 8,828 on the 15th. Berger still owns 1,839,516 shares."

Vringo, Inc.(NYSEAMEX:VRNG)’s patent battle with Google Inc (NASDAQ:GOOG) over the use of Adwords and Adsense has huge implications for the technology industry and for the search giant.

Sincethe patents under disputeare related to AdWords and Adsense, which are vital to Google's revenues, any decision on this will have a huge impact for the company.

The patent was granted originally to Ken Lang, who sold it to Lycos and then bought it back. Lang has now joined Vringo and has decided that he wants to be paid for the use of the technology.

According to the complaint made by Vringo with the use of the technology, which filters out search results for advertisements, Google's revenue and market share rose significantly. 

Shares of VRNG are up 3.90% to $3.74.

2 Big News: Vringo, Inc. (AMEX:VRNG) & Yum! Brands, Inc.(NYSE:YUM)


Yum! Brands, Inc.(NYSE:YUM) on Tuesday reported a 23 percent rise in its income for the third quarter buoyed by demand in the United States and in China.

The company, which owns Taco Bell, Pizza Hut and KFC, reported net income of $471 million, or $1 per share, in the three months ended Sept. 8, up from $383 million, or 80 cents per share, a year ago.

Excluding one-time items, Yum's earnings were 99 cents per share for the quarter. Revenue rose 9 percent to $3.57 billion from $3.27 billion.

Analysts had expected earnings of 97 cents per share on revenue of $3.66 billion.

Its operating profit from U.S. operations rose 13 percent in the quarter helped by a new menu for Taco Bell created by celebrity chef Lorena Garcia.

In China, its operating profit rose 22 percent, helped by the fact that costs grew lower than revenues.
"In China, our category-leading brands and competitive positions are stronger than ever," said Yum Chairman and CEO David C. Novak in a statement.

Shares of YUM soared over 8% to $71.00.

Shares in Vringo, Inc. (AMEX:VRNG) rose on Wednesday early trades as a court-ordered settlement talks with Google started on Tuesday.

The court told Google to produce to Vringo "data that has not been produced as to Google's revenue for its properties based in the United States and AUTHORIZES the Plaintiff to supplement the report of its damages expert, Dr. Stephen L. Becker, within two days thereafter. Furthermore, the Defendants may not cross-examine Dr. Becker on the omission in his initial report of Google, Inc.'s, revenue for its properties based in the United States."

Shares in Vringo were trading up 5.62 percent. The stock has already gained 63% and yesterday came off an all time high of $5.73. The recent move was driven by multiple news last week, the court had ordered Google Inc (NASDAQ:GOOG) to negotiate with VRNG related to ongoing patent war, where the former was sued by later for infringement of a patent.  Well, this off course is positive news for VRNG’s shareholders and the soared 58% last week. However, on the stock retreated on Friday after the company announced that it raised $45 million in a direct offering to five of its existing institutional investors at $4.35 a share.

Well, the latest fight is yet to end, the company has decided to sue another company for patent infringement as on Monday the company said it was suing the UK subsidiary of ZTE Corporation   for infringement.

Vringo Inc. (AMEX:VRNG) shares Resume Uptrend On Another positive news, All Eyes on Upcoming Trial


Patents firm Vringo, Inc.(NYSEAMEX:VRNG) is seeing a huge uptick in its shares with a spate of developments that are positive for the company.

On Friday a U.S. court turned down an appeal by Google to summarily dismiss a patent lawsuit filed by Vringo against the internet search firm. It also ordered Google and other companies involved in the suit such as AOL, Target among others to settle with Vringo out of court.

On Monday Vringo said that it had filed another lawsuit against Chinese phone maker ZTE alleging that it had infringed on three of its European patents.

Shares in Vringo rose 19.60 percent on Monday to $5.43 a share. The stock has risen about 905 in the past one week and made an all time high of $5.57 in yesterday’s session. Last week, the stock was up 58%.

On Friday the company also announceda $45 million fund raising programme via an offer of equity shares, to strengthen its balance sheet and be in a better negotiating position with Google.

The boost in the shares of the company was also partly due to Maxim Group maintaining its Buy rating on the stock while raising the target price to $10 from $6.50 a share.

John Tinker, analyst with Maxim said that Vringo appeared to have Google in a tight spot going into settlement negotiations and that the Internet search giant could be liable to pay hundreds of million to Vringo or simply buy the patents.

"Google is in a tricky position; if they pay a patent troll, this could open the doors to further cases. On the other hand, a company that professes to “do no evil” should pay a licensing fee for someone else’s idea that they are using, in our opinion. One possible outcome is that GOOG buys Vringo and then uses the patents in turn as a strategic weapon against Microsoft for similar infringement," Tinker wrote in his note to clients.

Tinker has estimated that damages paid out by Google could amount to $1.4 billion.
